1. Introduction

These Terms and Conditions (“Terms”) govern the use of services provided by MBBE NING LIMITED (“the Company,” “we,” “us,” or “our”). By engaging our services or visiting our website, you (“the Client”) agree to be bound by these Terms.

2. Services

MBBE NING LIMITED provides custom software development, API integration, IT consulting, and cloud-based solutions.

All services are tailored to the Client’s specific requirements and are subject to a written quotation or agreement prior to commencement.

3. Payment Terms

•A 50% deposit is required before the start of any project.

•The remaining 50% is due upon final delivery and Client approval.

•Payments shall be made via SEPA or SWIFT transfer, unless otherwise agreed in writing.

•All prices are quoted in EUR unless specified otherwise.

4. Client Responsibilities

The Client shall provide accurate and complete project information, feedback, and necessary access or credentials to enable timely project completion.

Delays caused by the Client may result in adjusted timelines or additional costs.

5. Confidentiality and Data Protection

Both parties agree to keep all project-related information, data, and materials strictly confidential.

MBBE NING LIMITED adheres to international data protection principles and ensures that all client information is handled securely and used solely for service delivery.

6. Intellectual Property

Upon full payment, the Client will receive ownership of the final software or deliverables, excluding pre-existing tools, libraries, or frameworks owned by MBBE NING LIMITED.

The Company retains the right to use non-confidential parts of the project for portfolio or demonstration purposes unless otherwise agreed in writing.

7. Limitation of Liability

MBBE NING LIMITED shall not be liable for any indirect, incidental, or consequential damages arising from the use of its services.

The total liability for any claim shall not exceed the total amount paid by the Client for the specific project in question.

8. Termination

Either party may terminate the project agreement with written notice if the other party breaches these Terms.

In such cases, the Client shall pay for all completed work up to the date of termination.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Hong Kong.

Any disputes shall be resolved under the exclusive jurisdiction of the courts of Hong Kong.
